Introduction
These Terms of Service set out the general terms on which Tribe 9 operates this website and provides its services. They apply to everyone who uses our website, and they form the general framework for how we work with our clients.
The specific IT services we provide to a client, including what is included, service levels and pricing, are set out in a separate agreement, quote or statement of work agreed with that client. Where anything in that separate agreement differs from these Terms, the separate agreement applies.
By using our website or engaging our services, you agree to these Terms. If you do not agree with them, please do not use our website or our services.

4. Our Services
When you engage us to provide IT services, we will carry out that work with reasonable care and skill. The detail of what we will do, what it costs, and any service levels or response times, is set out in the separate agreement, quote or statement of work we agree with you.
Some things that affect our services are outside our control, including the availability and behaviour of third-party platforms (such as Microsoft 365), your internet connection, and your own equipment. We are not responsible for problems caused by those things, though we will always help you work through them.
5. Your Responsibilities
To let us do our job well, you agree to:
- Give us accurate information and timely access to the systems and people we need
- Hold the appropriate licences and subscriptions for the software you use
- Tell us promptly if something isn't working as expected
- Follow reasonable security advice we give you
You remain responsible for your own business decisions and for the personal information held in your own systems. Our role is to help you keep your systems secure and running well, not to take over your legal responsibilities.
6. Fees and Payment
Fees for our services are set out in the agreement or quote we provide. Unless we agree otherwise in writing, our invoices are payable within the timeframe stated on the invoice. We may pause or suspend services where invoices remain unpaid after we have given you reasonable notice.
7. Privacy
We handle personal information in accordance with our Privacy Policy, which forms part of these Terms. Please read it to understand how we collect, use and protect personal information, including information we handle on behalf of our clients.
8. Limitation of Liability
We take care in our work, but no IT service can be guaranteed to be entirely free of faults, interruptions or security incidents. To the extent the law allows:
- Our total liability to you for any claim arising from our services is limited to the amount you paid us for the specific service that the claim relates to.
- We are not liable for indirect or consequential losses, including loss of profit, loss of business, or loss of data, beyond what is reasonably foreseeable and directly caused by us.
Nothing in these Terms limits any liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
9. Consumer Rights
Where you acquire our services as a consumer, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that these Terms do not affect.
Where you acquire our services in trade (that is, for the purposes of a business), you agree that the Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, to the extent that contracting out of those provisions is fair and reasonable. This reflects that business clients and we are both in trade.
10. Suspension and Termination
Either of us may end a services engagement in line with the terms of the separate agreement we have with you. We may suspend or stop providing services where you are in serious breach of these Terms or that agreement and have not put it right after we have given you reasonable notice.
Ending an engagement does not affect any rights or obligations that have already arisen, including the obligation to pay for work already done.
11. Disputes
If a dispute arises, we ask that you contact us first so we can try to resolve it directly. We will always try to sort things out through an honest conversation.
If we cannot resolve it that way, both parties agree to attempt mediation in good faith before starting court proceedings. Nothing in this clause prevents either party from seeking urgent relief from a court where necessary.
12. Governing Law
These Terms are governed by the laws of New Zealand, and the New Zealand courts have jurisdiction over any dispute relating to them.
13. Changes to These Terms
We may update these Terms from time to time. The current version will always be published on this page with its effective date. Where a change materially affects an existing client engagement, we will let you know.
